ScheduCall Terms of Service
Effective date: 10/16/2026 · Last updated: 10/16/2026
These terms are an agreement between you and William Guglielmo, doing business as SurgSoul ("SurgSoul", "we", "us"), for your use of ScheduCall at call.surgsoul.com. By creating an account, using a personal link, or otherwise using ScheduCall, you agree to them. Our Privacy Notice explains how we handle information.
If your organization has a separate written agreement with us (such as an order form or invoice terms), that agreement governs your organization's use where it conflicts with these terms.
1. What ScheduCall is — and is not
ScheduCall helps the person responsible for a team's on-call schedule collect availability and requests, generate a proposed schedule, review it against the team's rules, and publish it to the team.
- It is a scheduling aid. The scheduler decides. ScheduCall proposes schedules and flags the problems it can detect. A schedule takes effect only when a person reviews and publishes it, and that person and their organization remain responsible for it.
- It does not guarantee coverage, fairness, or compliance. Availability, rules, and team size can make a fully balanced schedule impossible, and ScheduCall checks only the rules it has been given. Your organization remains responsible for safe staffing levels, qualifications and credentialing, rest and working-time requirements, labor law, and any collective-bargaining agreement.
- It is not a clinical system. ScheduCall schedules staff. It is not a medical record and must not be used to store patient information or to make decisions about patient care.
2. Logins, invitations, and personal links
- Logins. You must be at least 18 and give accurate information. While ScheduCall is in early access, starting a new account needs an invite code from us; joining an existing team needs an invitation from it.
- One person per login. Keep your password to yourself and sign out of shared devices. You are responsible for what happens under your login; tell us promptly at admin@surgsoul.com if you think someone else has used it.
- Authority to schedule. By setting up a team, or by inviting someone to manage one, you confirm that you are allowed to manage that team's schedule and to enter its staff information in ScheduCall on your organization's behalf.
- Invitations. Invite only people your organization wants to have that access, and remove it when they no longer need it. An invitation is for the person it was sent to: do not forward it.
- Personal links. A scheduler can send each team member a personal link. It lets that person send requests and see the published schedule without an account. A personal link is for the person it was sent to: do not share it, because anyone with it can see what that person sees. Schedulers should send each link only to the person it belongs to.
3. Plans and payment
ScheduCall is free while it is in early access, and nothing is charged. The planned prices are shown on the pricing section of our home page.
Before we charge for anything, we will publish the plan terms here and tell existing schedulers. As planned, paid plans will be prepaid for a month or a year with no automatic renewal, and you will be able to ask for a full refund within 14 days of a purchase. A free early-access account will not become a paid plan without your agreement.
4. Your team's information
"Your team's information" means what you and your team members put into ScheduCall: names, availability, standing patterns, time off, requests, notes, and schedules.
- Your organization keeps ownership. We claim no ownership of it.
- Our license to run the service. You give us a non-exclusive, worldwide, royalty-free license to store, copy, display, and process your team's information only as needed to operate and improve ScheduCall and to show it to the people it is meant for, such as team members on their personal links. This license ends when the information is deleted, except for copies in backups for their normal retention period (see the Privacy Notice).
- Your responsibility. Enter only information your organization allows you to use for scheduling, keep it accurate, and keep notes to what the schedule needs.
- Feedback. If you send us suggestions, we may use them without owing you anything.
5. Our software
ScheduCall's software, scheduling engine, and design belong to SurgSoul. We give you a personal, non-transferable license to use it to schedule your team while you have access. You may not copy, sell, or redistribute it, or use automated tools to copy it.
6. Acceptable use
When you use ScheduCall, you agree not to:
- enter patient information — names, medical record numbers, dates of birth, or anything else that could identify a patient;
- enter information about people that you are not allowed to use for scheduling, or record health details or reasons for leave that the schedule does not need;
- share your account or a personal link, or use someone else's;
- submit requests in someone else's name;
- harass anyone, or enter unlawful, deceptive, or offensive content;
- test, probe, or attack ScheduCall's security, overload it, or get around access limits or plan limits;
- scrape, reverse engineer, or copy ScheduCall, except as the law allows;
- use ScheduCall in a way that breaks your organization's rules or the law.
7. Responsibilities of organizations
An organization whose staff are scheduled in ScheduCall is responsible for:
- deciding who manages its schedules, and removing access when someone leaves that role;
- telling its staff that it uses ScheduCall, and meeting its own obligations for staff information;
- the schedules it publishes and the staffing decisions it makes with them;
- not entering patient information.
8. Changes to ScheduCall, and availability
We improve ScheduCall continually and may add, change, or remove features. We will not remove something that is essential to a plan you have already paid for without offering you a fair remedy. We aim to keep ScheduCall available and backed up, but we do not guarantee it will be uninterrupted or error-free. Keep your own copy of any published schedule your team depends on (Print, PDF, or calendar export).
9. Ending your use
- You can stop using ScheduCall at any time, and ask us to delete your account and your team's information (see the Privacy Notice).
- We may suspend or end an account or a personal link that breaks these terms, puts others at risk, or is required to be suspended by law. Where it is safe and lawful to do so, we will tell you why and give you a chance to fix the problem first.
- Sections 1, 4 (as to our backup copies), 5, 6, and 10–15 continue to apply after your use ends.
10. Third-party services
ScheduCall relies on services we do not control, such as hosting and email providers, and the calendar apps you choose to import schedules into. Their own terms apply to your use of them.
11. Disclaimers
ScheduCall is provided "as is" and "as available." To the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Review every schedule before you publish it, and follow your organization's staffing policies.
12. Limitation of liability
To the extent the law allows, SurgSoul will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or opportunities, including those arising from a schedule, a gap in coverage, or a staffing decision. Our total liability for any claim relating to ScheduCall is limited to the amount you paid us in the 12 months before the claim.
13. Indemnity
If you or your organization use ScheduCall in breach of these terms or the law, you agree to cover our reasonable costs of claims made against us as a result.
14. Governing law and disputes
These terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules. Before filing a claim, you agree to contact us at admin@surgsoul.com so we can try to resolve it informally. Any dispute that is not resolved that way will be decided by the state or federal courts located in or serving Jasper County, Missouri, and you and SurgSoul agree to those courts' jurisdiction.
15. Changes to these terms, and general terms
- If we make a material change, we will tell schedulers by email or in the app before it takes effect. If you keep using ScheduCall after that, the new terms apply; if you do not agree, you can stop using ScheduCall and receive a refund for the unused part of any paid access.
- If any part of these terms is unenforceable, the rest stays in effect. Not enforcing a term is not a waiver of it. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition, or sale of assets. These terms (with the Privacy Notice and any organization agreement) are the whole agreement between us about ScheduCall.
